EXPERIENCE
Michael Putnam has been a partner with Malkerson Gunn Martin LLP since its inception.
Mr. Putnam’s practice includes representation of commercial and community developers in connection with all aspects of development. This includes purchase and sale agreements, leases, development agreements and other agreements with municipalities, easement agreements and other title matters, and construction and architectural agreements. His current developer clients include a regional retail developer and the developer of a large multi-use commercial project. He has also represented a national restaurant group developing company-owned facilities, and developers of large and small community communities, including representation for over ten years of the developer of various large golf course communities.
Mr. Putnam represents both landlords (both developers and non-developer owners) and tenants in commercial and office leasing. He advises his clients on lease structuring issues as well as the negotiation and preparation of lease documents. His experience includes retail and office leasing, and includes both large and small, multi-tenant and stand-alone leases, and build-to-suit. Mr. Putnam has recently negotiated several stand-alone leases with a national electronics retailer.
Mr. Putnam also represents both buyers and sellers of improved and unimproved commercial and community development real estate. He represents commercial developers in the acquisition of raw land, as well as improved properties slated for redevelopment. He has also represented community builders in the acquisition of raw land for development. At the other end of the development timeline, Mr. Putnam represents commercial developers in the sale of large and small developed properties to individual and institutional investors, including defeasance of mortgage loans in connection with sales. He also represents community developers in the sale of lots to builders and individuals, including compliance with the Interstate Land Sales Full Disclosure Act.
Mr. Putnam worked closely with a large nation-wide lender in resolving its community development lending portfolio. In that capacity, Mr. Putnam assisted in analyzing and resolving legal and business issues in connection with large community development REO properties, both prior to and after acquiring ownership through deed in lieu or foreclosure, in preparation for ultimate sale. He handled the sale process, including negotiating and preparing sale agreements and related documents, supervising local counsel, resolving issues as they arise and handling such other matters as have required attention.
Mr. Putnam advises commercial and community developers in connection with construction financing for development projects, and permanent financing from institutional lenders. This representation includes advice in the structuring of financing packages and the preparation and negotiation of loan documents. Mr. Putnam has also worked with borrowers in the restructuring and workout of loan problems. Mr. Putnam’s finance experience involves transactions with national institutional lenders, syndicated lenders and local lenders, large and small. He also frequently acts as local counsel for national and international lenders in multi-state transactions, providing local law advice and opinions of counsel.
